Terms of Service

1. Introduction

Welcome to "Pallas AI," provided by Pallas AI (HK) Limited ("Company," "we," "us," or "our"). These Terms of Service ("Terms") constitute a binding legal agreement between you and the Company regarding your access to and use of Pallas AI software and related services ("Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Accounts

2.1 Eligibility: You must be at least 18 years old (or the age of majority in your jurisdiction) to use Pallas AI. 2.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials. You are fully responsible for all activities that occur under your account. Please notify us immediately of any unauthorized use. 2.3 No Sharing: Accounts are for individual or internal organizational use only. You may not sell, resell, rent, or share your account access with unauthorized third parties.

3. Services and Usage Rules

3.1 Service Description: Pallas AI is an AI-powered tool providing text generation, image generation, data processing, and other capabilities. 3.2 Generated Content Disclaimer:

  • AI Generation: You acknowledge that the output is generated by artificial intelligence based on probabilistic models ("Output"). It may contain errors, inaccuracies, biases, or hallucinations.
  • No Professional Advice: The Output is for informational purposes only and does not constitute professional advice (including but not limited to legal, medical, financial, or engineering advice).
  • User Responsibility: You are responsible for evaluating the accuracy and appropriateness of the Output. You assume all risks associated with the use of the Output. 3.3 Prohibition on High-Risk Use: You may not use the Service for any critical safety systems or life-critical applications (including but not limited to medical diagnosis, autonomous vehicle control, air traffic control, or nuclear facility operations) where a failure or error of the Service could result in death, personal injury, or severe environmental damage. 3.4 Modifications: We reserve the right to modify, suspend, or discontinue the Service at any time without prior notice.

4. User Conduct

4.1 Prohibited Content: You agree not to use Pallas AI to generate, upload, or disseminate content that:

  • Is illegal, harmful, threatening, abusive, harassing, defamatory, or hateful;
  • Promotes violence, discrimination, or self-harm;
  • Contains sexually explicit material or Child Sexual Abuse Material (CSAM);
  • Infringes upon the intellectual property, privacy, or other rights of third parties;
  • Contains malware, viruses, or malicious code. 4.2 Prohibited Actions: You may not:
  • Reverse engineer, decompile, or attempt to discover the source code or underlying models of Pallas AI;
  • Use automated means (such as scrapers or bots) to access the Service;
  • Use the Service to develop a competing product or service. 4.3 Export Controls: You acknowledge that the Service's servers and databases are hosted in the United States. You agree to comply with all applicable export control and sanctions laws, including the Export Administration Regulations ("EAR") of the United States. You represent that you are not on any U.S. government sanctions list (e.g., SDN List) and are not located in any country or region subject to comprehensive U.S. sanctions (e.g., Cuba, Iran, North Korea, Syria, Russia).

5. Fees and Payment

5.1 Fees: Certain features of the Service may require payment. You agree to pay all applicable fees in accordance with the pricing published by us. 5.2 No Refunds: Except as required by applicable law, all fees paid are non-refundable (including but not limited to subscription fees and compute credits). 5.3 Price Changes: We reserve the right to change our pricing at any time. Any price changes will become effective at the start of the next subscription cycle.

6. Intellectual Property

6.1 Your Content: As between you and the Company, you retain ownership of the content you input ("Input"). 6.2 AI Output: Subject to your compliance with these Terms, the Company hereby assigns to you all its right, title, and interest in and to the content generated by the Service ("Output"). You are responsible for the Output, including ensuring that it does not violate any applicable law or these Terms. 6.3 Company Rights: The Company retains all rights, title, and interest in and to the Pallas AI software, algorithms, trademarks, and pre-existing materials. 6.4 Service Improvement: To the extent permitted by applicable law, you grant the Company a non-exclusive, worldwide, royalty-free license to use your non-sensitive Input and Output to provide, maintain, and improve the Service (including model training).

7. Copyright Policy (DMCA)

We respect intellectual property rights. If you believe content on Pallas AI infringes your copyright, please send a notice compliant with the Digital Millennium Copyright Act (DMCA) to contact@pallasai.net, including: (i) your physical or electronic signature; (ii) description of the copyrighted work; (iii) location of the infringing material; (iv) your contact information; (v) a statement that you have a good faith belief that the use is unauthorized; and (vi) a statement that the information is accurate and you are the copyright owner.

8. Indemnification

You agree to indemnify, defend, and hold harmless Pallas AI (HK) Limited, its affiliates, officers, directors, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (i) your access to or use of the Service; (ii) your violation of these Terms; or (iii) your infringement of any third-party rights.

9. Disclaimer of Warranties and Limitation of Liability

9.1 "As Is" Basis: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 9.2 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, PALLAS AI (HK) LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US TO USE THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM. IF YOU USE THE FREE VERSION, OUR LIABILITY IS LIMITED TO ZERO.

10. Data Storage and International Transfers

You acknowledge and agree that while the Service is operated by Pallas AI (HK) Limited, our servers and database infrastructure are located in the United States. By using the Service, you explicitly consent to the transfer, storage, and processing of your personal information and data in the United States.

11. Termination

We reserve the right to suspend or terminate your access to the Service at any time, for any reason (including for convenience), without notice or liability.

12. Governing Law and Dispute Resolution

12.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law principles. 12.2 Jurisdiction: Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong. 12.3 Class Action Waiver: TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
